FRENCH LAW 1901 ASSOCIATION - 6 JANUARY 2018


CINEFFABLE

ARTICLE 1 - CONSTITUTION

A statutory association governed by the French law of July 1st, 1901 and its law of enforcement of August 16th, 1901 is founded between the subscribers of the following articles and designated as follows: CINEFFABLE.


ARTICLE 2 - PURPOSE

This association aims to support and promote any initiative that fosters the cultural expression of women and to fight against any form of sexism, racism and homophobia.


ARTICLE 3 - REGISTERED OFFICE

The registered office is located: c/o Association Cineffable, Centre LGBT, 63 rue Beaubourg, 75003 Paris, France.
It may be transferred to another address by decision of the Board of Directors; ratification by the General Assembly will be required.


ARTICLE 4 - COMPOSITION

The association is made up of:
a) Honorary members
b) Benefactor members
c) Active members or members.


ARTICLE 5 - ADMISSION

In order to be a member of the Association, prior approval is required from the Board of directors, which gives a ruling at each of its meetings on candidatures for membership.
Membership is exclusively for women.


ARTICLE 6 - MEMBERS

Honorary members are persons who have rendered notable service to the association. They do not have to pay any subscription.
Benefactor members are those who pay an entrance fee of 100€, reviewed each year by the General Assembly.
Active members are those who have pledged to pay an annual subscription, the amount of which, fixed in the table below, can be reviewed each year by the General Assembly.

Membership fees

The objective of the reduced price is to allow maximum accessibility to the association's activities. It is applicable to students, job-seekers, people over 65, people on minimum social support. The board of directors may supplement this list as necessary.


ARTICLE 7 - CESSATION OF MEMBERSHIP

One ceases to be a member by:
a) resignation;
b) death;
c) radiation pronounced by the Board of Directors for non-payment of dues or for serious grounds, the interested person having been invited by registered letter with proof of receipt to appear in front of the Board to provide explanations.


ARTICLE 8 - METHODS OF ACTIONS

The Association's resources include:
1° admission fees and subscriptions from the various categories of members, with the exception of honorary members;
2° subsidies by the European Community, the French State and local authorities (regions, departments, communes);
3° sums received in return for services provided by the association;
4° donations and contributions from individuals;
5° any other resources which laws and regulations allow.


ARTICLE 9 - BOARD OF DIRECTORS

The association is directed by a Board, made up of at least 3 (three) Regular Members of the General Assembly, each elected for one year by the General Assembly. The members of the Board may be re-elected.
The Board elects once a year by secret ballot the following officers among its members:
1° a President
2° a Secretary and, if need be, a Deputy Secretary
3° a Treasurer and, if need be, a Deputy Treasurer
The Board is re-elected each year.
In the event of vacancies, the Board temporarily provides for the replacement of its members. Their permanent replacement is made on the occasion of the next General Assembly for the duration of the original term of office.


ARTICLE 10 - MEETING OF THE BOARD

The Board meets at least once every six months, by notification of the President, or at the request of at least one quarter of its members.
Decisions are made by majority vote. In case of a tie, the President casts the deciding vote.
Any Member of the Board who, without excuse, fails to attend two meetings in a row, shall be considered as resigning from such post.
No one may be considered as part of the Board if not of full age.


ARTICLE 11 - ORDINARY MEETING OF THE GENERAL ASSEMBLY

The General Assembly includes all the members of the association, whatever their membership position. The annual General Assembly takes place each year in January.
At least fifteen days before the date of the General Assembly, the Executive Secretary calls a meeting of the members. The draft agenda appears on the notification to attend.
The President, assisted by her officers, chairs the Assembly meeting and presents the previous year's activity report for the association.
The Treasurer explains her management of the finances and submits the balance sheet for the approval of the General Assembly.
It is proceeded when the discussion of the agenda is finished to the substitution, at the secret ballot, of the retiring members of the Board.
Only issues set in the agenda shall be discussed during the General Assembly.


ARTICLE 12 - EXTRAORDINARY MEETING OF THE GENERAL ASSEMBLY

If need be, the President or more than half the registered General Assembly Members can call an extraordinary meeting of the General Assembly, under the terms of validity set out in Article 11.


ARTICLE 13 - INTERNAL RULES

Internal rules can be established by the Board of directors, which shall make it approve by the General Assembly. Internal Rules are meant to lay down non-statutory matters, notably those dealing with the internal organization of the association.


ARTICLE 14 - DISSOLUTION

In the event of a dissolution pronounced by at least two thirds of the members attending the General Assembly, one or several liquidators will be appointed by the General Assembly and the assets of the association, if any, will be distributed in conformity with Article 9 of the Law of July 1st, 1901 and with the decree of August 16th, 1901.
